Intermediate/Senior Corporate Law Paralegal – National Law Firm
Job Description
Vortex Strategy & Recruitment is actively seeking an Intermediate and Senior Corporate Law Paralegal for its client, a highly reputable national law firm located in downtown Montreal.
Working in collaboration with lawyers and under the supervision of the Manager, Corporate Services, the successful candidate will support lawyers in their practice and perform various tasks related to corporate law.
Your Role and Responsibilities
Assist lawyers with corporate transactions, commercial and tax operations involving all types of legal entities
Maintain and update physical and virtual minute books
Conduct due diligence reviews of minute books and draft reports and corrective resolutions
Prepare documents and coordinate files related to incorporations/organizations, articles of amendment concerning various changes, mergers, continuances, dividend declarations, dissolutions, transfers/issuances/redemptions/transmissions of shares, registrations/filings/amendments for various types of Quebec and extra-provincial entities, appointments/resignations/removals of directors or officers, and changes of registered office address
Ensure filings with regulatory authorities
Perform annual updates of resolutions, reports, declarations, and other continuous disclosure documents
Act as a liaison with clients to obtain information, ensure they are informed of the status of their files, and respond—within delegated authority—to any client questions or concerns
Communicate directly with service providers and court officials regarding client matters
Conduct various corporate searches and prepare required forms for extra-provincial registrations
Prepare documents related to transactions and reorganizations
Draft various resolutions as needed
Prepare reports as required
Perform any other related tasks as needed
Requirements
Minimum of 5 years of experience as a corporate law paralegal within a law firm
Diploma of College Studies (DEC) in Paralegal Technology
Bilingualism (spoken and written French and English)
Strong communication skills with the ability to interact effectively with firm members and respond to client needs in a professional and courteous manner
Ability to work independently as well as part of a team
Ability to conduct legal research
Knowledge of relevant and current laws and government regulations
Ability to analyze legal documents for accuracy
Strong organizational skills with the ability to prioritize and reprioritize as needed
Ability to manage stress professionally
Proficiency in Microsoft Office Suite
Knowledge of Athennian software is an asset
